York, UK, 26th August 2026. Animalcare Group has entered a non-binding term sheet with Anumio, Inc. for an option to an exclusive worldwide licence, exercisable following a defined evaluation period, to evaluate, develop and commercialise a novel equine long-acting injectable product, based on Anumio's technology platform. The territory is intended to be worldwide, subject to completion of definitive agreements.
Animalcare and Anumio first met at last year's Kansas City Corridor meeting, where the fit between Anumio's technology and Animalcare's development and commercial capabilities became clear. It's the same approach that led to the Randlab acquisition three years ago, and Animalcare continues to look for opportunities of this kind wherever they arise. The parties also see potential to explore additional veterinary projects using Anumio's technology, where there is a clear clinical and commercial need.

Under the proposed terms, and subject to execution of definitive agreements, Animalcare would lead regulatory strategy, clinical studies, safety monitoring and commercialisation. Anumio would provide platform-related formulation development, manufacturing and technical support, and would retain ownership of its underlying intellectual property.

"This agreement is a good example of the kind of partnership we're actively looking to build," said Martin Gore, Strategic Alliance & Acquisitions Director at Animalcare. "Following the acquisition of Randlab and the VHH NGF research programme and related assets from Orthros Medical, we continue to seek out businesses and technologies, wherever they sit in their development, that combine strong science with a genuine opportunity to bring practical veterinary products to market. We're always glad to hear from founders working in this space."

“We’re pleased to work with Animalcare and appreciate the opportunity to collaborate on this program,” said Emily Meyering, COO of Anumio, Inc. “This work is an example of the swift progress our team is making through our Faros technology platform."
Once the evaluation is successfully completed and Animalcare decides to exercise the option of licensing in the technology, a joint steering committee will oversee development, regulatory strategy and manufacturing performance.

Both companies see this collaboration as the start of a longer relationship and intend to work towards that together.

About Anumio

Anumio, Inc. is an animal health company dedicated to developing long-acting injectable therapeutics that improve the lives of companion animals and simplify treatment for veterinarians and pet owners. The company holds exclusive rights to Frenelle Pharma’s Faros™ microsphere technology for animal health applications, leveraging its proprietary platform to design sustained-release formulations that reduce dosing frequency, enhance treatment adherence, and support safer, more convenient care. By focusing on unmet needs in veterinary medicine, Anumio aims to advance a pipeline of internally developed candidates while also pursuing co-development opportunities with strategic partners in key indications.

Anumio’s parent company, Frenelle Pharma, systematically advances Faros™-enabled therapeutics from discovery through commercialization via its hub-and-spoke model. With micro-sized, spherical, non-porous particles that deliver consistent drug release, Faros™ particles enable injections through very small-gauge needles, minimizing injection-site pain and enhancing the safety of soft-tissue injections. Its aerodynamic properties make Faros™ particles compatible with inhalation delivery as well. Frenelle Pharma has three subsidiaries at this time, SpineThera (sciatica), Frenelle PBC (addiction medicine), and Anumio (animal health). Headquartered in Minnesota's Medical Alley, the company is committed to continually improving patient and pet experiences through superior drug delivery.

Non-binding nature of the term sheet

The term sheet between Animalcare and Anumio is non-binding, except with respect to any exclusivity, confidentiality and governing-law provisions expressly designated as binding therein. No party is under any obligation to enter into a definitive licence, and no binding licence rights or obligations arise unless and until the parties execute mutually acceptable definitive agreements. Nothing in this announcement should be construed as creating any such binding obligation.
